Mission
At Zelestra, we are looking for a Compliance and Finance Legal Counsel to join the team of our LATAM Business Unit, based in Santiago, Chile. The mission of this role is to provide legal advice in financial, corporate, and compliance matters to internal clients across LATAM, and to propose strategies and actions to address a variety of financial, economic, corporate, and compliance issues related to the development, acquisition, financing, construction, and operation of assets. This is aimed at supporting legal risk management in line with internal standards and current regulations, while promoting a culture of compliance that enables Zelestra to achieve its objectives sustainably.
Responsibilities
- Advise on the negotiation and drafting of contracts related to the financing of renewable energy generation projects in Peru, Chile, and Colombia.
- Review and manage existing financing agreements and ensure compliance with obligations towards financial institutions.
- Provide support in M&A transactions and other corporate initiatives.
- Advise internal clients on legal matters within the area of expertise, according to the department’s planning and business needs.
- Coordinate and manage external legal counsel, maintain direct communication, and flag critical issues, deadlines, and strategies for various assignments required by Zelestra.
- Maintain ongoing support with the LATAM legal team through weekly follow-ups and alerts on any matters that may impact the business.
- Provide advice and keep corporate and regulatory compliance up to date for all group companies in LATAM, ensuring Zelestra’s operations are aligned with applicable laws.
- Advise on and ensure correct implementation of the company’s crime prevention and anti-money laundering models across LATAM, as well as compliance with all antitrust regulations.
- Identify and mitigate legal, compliance, and reputational risks associated with projects in LATAM, in collaboration with internal teams and relevant stakeholders.
- Regularly evaluate the effectiveness of control systems and recommend improvements.
- Deliver training sessions on compliance and ethics.
- Investigate and resolve compliance incidents.
- Academic background: Law degree (mandatory), obtained in Chile, Peru, or Colombia, with willingness to relocate to Santiago, Chile.
- Experience: Minimum of 5 years in law firms and/or infrastructure companies, preferably in the energy sector.
- Specific experience: Desirable experience in project finance, M&A, implementation of compliance policies, and general corporate law.
- International or multinational company experience is a plus.
- Native Spanish speaker and advanced English (mandatory).
