Role Overview

As a Commercial Legal Counsel at BairesDev, you'll support the high-volume review of enterprise client contracts, working with checklists and approved positions under the guidance of senior legal counsel. You'll triage requests, redline key terms, and coordinate with Sales, Delivery, Security, and Privacy to keep deals moving.

Key Responsibilities

• Review and redline commercial agreements, including MSAs, SOWs, NDAs, and DPAs, quickly and accurately, aligning legal positions with business outcomes and delivery feasibility.
• Assess and prioritize contract risk by identifying key deviations in liability, indemnities, IP, payment, termination, RTH and non-solicit, audit, and insurance, issuing clear recommendations.
• Support contracting for technology and AI-driven services engagements.
• Drive alignment across teams, managing timelines and approvals to remove signature blockers.
• Design and improve review processes to scale throughput and consistency.

Qualifications

• Law degree and qualification as a lawyer.
• Experience working as a contract legal counsel with US commercial agreements.
• Background in law firm contract counsel or corporate legal counsel roles.
• Advanced proficiency in English.

Additional Skills

• Experience with AI-related contracts is a plus.
